1. Services

Novoslate provides web design, development, hosting, Google Ads management, SEO, and related digital marketing services. Specific details, timelines, and deliverables are defined in individual proposals or agreements.

2. Use of the Website

You agree not to:

Use the site for any unlawful purpose
Attempt to disrupt or harm the site’s functionality
Copy, modify, or distribute our content without permission
We may update or remove content from the site at any time.

3. Quotes, Proposals, & Scope Creep

Any estimate or proposal provided by Novoslate is valid for 30 days unless stated otherwise. Services begin only after both parties agree to the scope and payment terms. Any feature requests, design revisions, or additions outside the agreed project scope require a formal change order and will be billed at our standard hourly rate.

4. Payments

Payment terms are outlined in your proposal or invoice. All hourly work, maintenance, consultations, or support requests billed outside of a fixed-price agreement are subject to a one (1) hour minimum charge. Late payments may result in project delays, suspension of services, or additional fees. Invoices unpaid after 30 days are subject to a late fee of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. Hosting or ongoing service plans require timely payment to remain active.

5. Cancellations & Refunds

Project cancellations must be submitted in writing. Work that has already been completed is non-refundable. Monthly service plans or hosting can be canceled at any time, but partial months are not refunded.

6. Client Responsibilities & Supplied Materials

Clients must provide accurate information, timely feedback, and necessary access (hosting, domains, accounts, etc.). Delays in providing these items may delay project timelines. You guarantee that all text, images, logos, and media provided to Novoslate are owned by you or used with explicit authorization. You agree to indemnify and hold Novoslate harmless against any third-party claims arising from client-supplied materials.

7. Intellectual Property & Portfolio Rights

All content, designs, and materials created by Novoslate remain our property until the project is fully paid.
After full payment, ownership transfers to the client unless stated otherwise in the proposal.
Pre-licensed assets (fonts, stock images, templates, etc.) may be used under their original license terms.
Unless otherwise agreed in a written non-disclosure agreement (NDA), Novoslate reserves the right to display completed designs, websites, and campaign work in our portfolio and promotional materials.

8. Third-Party Services

We may use third-party tools or platforms (hosting, analytics, ad platforms, CRM tools, etc.) in delivering services. We are not responsible for outages, updates, policy changes, or issues caused by these third parties.

9. Disclaimer

Our website and services are provided “as is.” We do not guarantee specific results from marketing services, SEO, or advertising efforts. Performance varies based on market conditions, competition, and factors outside our control.

10. Limitation of Liability

Novoslate is not liable for any indirect, incidental, or consequential damages arising from the use of our services or website. Our total liability is limited to the amount you paid us for the service in question.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Arizona, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms must be brought exclusively in the courts located in Surprise, AZ.

12. Termination

We may suspend or terminate access to the site or services if you violate these terms or misuse our offerings.

13. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” reflects the most recent version. Continued use of the site means you accept the updated terms.
